Supa User Agreement

This Agreement is intended to comply with applicable laws in Canada and the United States.
This User Agreement ("Agreement") governs your access to and use of the Supa application, website, and related services (collectively, the "Service"). By creating an account, accessing, or using Supa, you agree to be bound by this Agreement. If you do not agree, do not use the Service.
1. Definitions
"Supa", "we", "us", "our" — Yeswelldone Creative Inc., operating the Supafood service. "Supa" and "Supafood" are used as brand identifiers and do not imply registered trademark status.
"User", "you", "your" — any individual who accesses or uses the Service.
"Content" — any data, text, images, recipes, inventory items, preferences, or other information submitted to or generated by the Service.
"Subscription" — a paid plan providing additional features.
2. Eligibility
You must be at least 16 years old, or the age of majority in your jurisdiction, to use the Service. If you are under the age of majority but at least 16, you may use the Service only with the consent of a parent or legal guardian.
The Service is not intended for children under 13, and we do not knowingly collect personal information from children under 13, in compliance with the U.S. Children’s Online Privacy Protection Act (COPPA) and applicable Canadian privacy laws.
3. Account Registration and Security
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities that occur under your account.
- You agree to provide accurate, current, and complete information and to keep it up to date.
- We may suspend or terminate accounts that violate this Agreement or pose a security risk.
4. Description of the Service
Supa helps users decide what to cook by analyzing their food inventory, preferences, allergies, and food restrictions.
The Service may include:
- Inventory and grocery list management
- Recipe recommendations and planning
- AI-powered suggestions and generation
- Expiration and food usage reminders
Supa supports allergies and food restrictions as preference signals only. Supa does not guarantee the absence of allergens, suitability for medical diets, or complete accuracy, and users remain responsible for verifying ingredients and food safety.
Supa does not provide medical, nutritional, or professional dietary advice. Any information provided is for general informational purposes only.
5. User Content and Data
5.1 Ownership
You retain ownership of the Content you submit to the Service.
5.2 License to Supa
By using the Service, you grant Supa a non-exclusive, worldwide, royalty-free license to use, store, process, display, and moderate your Content solely for the purpose of operating, improving, and providing the Service.
5.3 Moderation and Removal
User-generated content may be reviewed, moderated, restricted, or removed primarily through human review. Supa does not currently rely on automated moderation models, but reserves the right to introduce automated assistance tools in the future in accordance with applicable law and with appropriate safeguards.
Content may be shared externally only after moderation and is not published automatically.
5.4 Responsibility
You are solely responsible for your Content and for ensuring that it does not violate any laws or third-party rights.
6. Acceptable Use
You agree not to:
- Use the Service for unlawful purposes
- Submit false, misleading, or infringing content
- Attempt to reverse engineer, disrupt, or abuse the Service or its infrastructure
- Circumvent usage limits, security measures, or paid features
7. Subscriptions and Payments
Certain features may require a paid Subscription.
Subscriptions are offered exclusively through the Apple App Store or Google Play.
Prices, billing cycles, and features are disclosed before purchase.
Subscriptions automatically renew unless canceled before the renewal date.
You may cancel at any time through your account settings or the platform where you purchased the Subscription.
Supa may participate in occasional affiliate or partner programs for marketing purposes; product recommendations may include affiliate links. Such links do not affect the integrity of core recommendations.
Refunds are handled in accordance with applicable law, including consumer protection laws in Canada and the United States, and the policies of Apple App Store or Google Play where applicable.
8. AI Features
Some features rely on artificial intelligence and external data sources and may produce imperfect, incomplete, or inaccurate results.
You acknowledge that AI-generated content is probabilistic and should be reviewed before use.
Supa is not responsible for decisions made based on AI-generated suggestions.
Supa may use third-party data sources (such as public food databases) to enrich product information. Such sources may contain errors or outdated information.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, disclose, and protect your personal data.

By using Supa, you acknowledge that you have reviewed the Privacy Policy and consent to the collection, use, and disclosure of your personal information as described therein.
We may communicate with you via email or push notifications for account-related, functional, and promotional purposes. You may opt out of non-essential communications as described in the Privacy Policy.
10. Service Availability and Changes
We may modify, suspend, or discontinue parts of the Service at any time.
We do not guarantee that the Service will be uninterrupted or error-free.
11. Termination and Account Deletion
You may stop using the Service at any time.
You may delete your account and associated data through in-app settings or other self-service tools provided by Supa.
Upon account deletion, Supa will permanently delete your personal data without undue delay, except where limited retention is required to comply with legal, accounting, or security obligations.
We may suspend or terminate your access if you violate this Agreement or if required by law.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW IN CANADA AND THE UNITED STATES, SUPA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above limitations may not apply to you.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SUPA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES (INCLUDING SOME PROVINCES AND STATES), SUPA’S LIABILITY SHALL BE LIMITED TO THE MINIMUM EXTENT PERMITTED BY LAW.
14. Indemnification
You agree to indemnify and hold harmless Supa from any claims, damages, losses, and expenses arising from your use of the Service or violation of this Agreement.
15. Governing Law and Jurisdiction
If you are located in Canada, this Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
If you are located in the United States, this Agreement is governed by the laws of the State of California, without regard to conflict of law principles.
You agree to submit to the exclusive jurisdiction of the courts located in the applicable jurisdiction above.
16. Changes to This Agreement
We may update this Agreement from time to time to reflect legal, regulatory, or Service changes. When required by law, we will provide advance notice. Continued use of the Service after changes become effective constitutes acceptance of the updated Agreement.

By using Supa, you acknowledge that you have read, understood, and agree to be bound by this User Agreement.
18. Apple App Store and Google Play Terms
If you download Supa from the Apple App Store or Google Play:
- This Agreement is between you and Yeswelldone Creative Inc., not Apple or Google.
- Apple and Google are not responsible for the Service or its content.
- Apple has no obligation to provide maintenance or support services.
- In the event of any failure of the Service to conform to applicable warranties, you may notify Apple, and Apple may refund the purchase price (if any); to the maximum extent permitted by law, Apple will have no other warranty obligation.
- Apple and Google are third-party beneficiaries of this Agreement and may enforce it against you.
19. Arbitration and Class Action Waiver (United States Only)
This section applies only to users located in the United States.
Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to this Agreement or the Service shall be resolved by binding arbitration, rather than in court.
Arbitration will be conducted on an individual basis.
You waive the right to participate in class actions, class arbitrations, or representative actions.
The arbitration will be governed by the U.S. Federal Arbitration Act and administered by a recognized arbitration provider.
You may opt out of this arbitration provision within 30 days of first accepting this Agreement by contacting support@supafood.app.
This section survives termination of this Agreement.
20. Privacy Policy (Summary Notice)
Supa collects and processes personal data in accordance with applicable privacy laws in Canada and the United States, including PIPEDA, CCPA/CPRA, and applicable provincial and state regulations.
Data processing may include:
- Account registration and authentication
- Email communications (registration, service notices, and marketing notifications)
- Push notifications related to recipes, cooking reminders, and product expiration dates
- Use of third-party services such as OpenFoodFacts for barcode enrichment (no sensitive personal data is shared)

21. Data Storage and International Transfers
Your information may be stored and processed in Canada, the United States, or other jurisdictions where our service providers operate. We take reasonable measures to ensure appropriate safeguards are in place for cross-border data transfers.
22. Severability
If any provision of this Agreement is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.
23. Entire Agreement
This Agreement, together with the Privacy Policy and any additional terms presented within the Service, constitutes the entire agreement between you and Yeswelldone Creative Inc. regarding the use of the Service and supersedes all prior agreements or understandings.
24. Survival
Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, arbitration, governing law, privacy, and data protection shall survive termination of this Agreement.
25. Electronic Acceptance
By clicking "Accept", creating an account, or otherwise using the Service, you consent to the use of electronic records and signatures and agree that this Agreement has the same legal effect as a written and signed agreement.
26. Questions and Clarifications Required
To ensure continued compliance and accuracy, Supa may require clarification or confirmation regarding:
- Changes in data collection practices
- Introduction of new tracking, analytics, or advertising technologies
- Material changes to AI providers or data processors
- Expansion into additional jurisdictions
Users will be notified when such changes materially affect their rights.
